These Terms of Use ("Terms") govern your access to the PurchasePal iOS application, this beta landing website at purchasepalapp.com, and related services (collectively, the "Services") provided by PurchasePal Technologies Inc. ("we," "us," or "our"). By downloading, installing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Beta Software Notice

The PurchasePal app is currently offered as public beta software for iOS. The app may contain bugs, glitches, incomplete features, or unexpected behavior. You participate in beta testing voluntarily and understand that data loss, service interruptions, or inaccurate price or health-related information may occur.

AI-generated suggestions and health-check outputs are informational only and do not constitute medical, nutritional, or professional advice. Always verify product information, allergens, and pricing before making purchase decisions.

2. Eligibility and Accounts

You must be at least 13 years old (or the minimum age in your jurisdiction) to use the PurchasePal app. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate registration information and to notify us of unauthorized access.

3. License and Acceptable Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the PurchasePal app for personal, non-commercial shopping assistance during the beta period.

You agree not to:

  • Reverse engineer, decompile, or attempt to extract source code from the app except where law expressly permits.
  • Use the Services for unlawful purposes or to infringe third-party rights.
  • Submit false, misleading, or abusive feedback to obtain promotional benefits.
  • Interfere with servers, networks, or security measures.
  • Scrape, automate, or bulk-query pricing data in violation of retailer terms or applicable law.

4. Beta Testing and Feedback Program

We invite beta testers to report glitches, bugs, and improvement suggestions through the in-app Feedback section. By submitting feedback, you grant PurchasePal Technologies Inc. a perpetual, worldwide, royalty-free license to use, reproduce, modify, and incorporate your submissions for any purpose related to improving the Services, without compensation unless otherwise stated in a separate written agreement.

4.1 How to Participate

  1. Download the PurchasePal app from the App Store or TestFlight using the link on our landing page at purchasepalapp.com.
  2. Create your account and explore app features including price comparison, the AI Shopping Assistant, and shopping list management.
  3. If you encounter a glitch, bug, or have a suggestion, open the Feedback section inside the app.
  4. Submit feedback with a clear description. Screenshots are encouraged.
  5. After your submission is reviewed and verified, your account may be upgraded to a lifetime free subscription.

4.2 Lifetime Free Subscription Incentive

Testers who submit verified feedback may receive a lifetime premium subscription at no charge. This offer is subject to the following rules:

  • Eligibility is granted per verified user account. Duplicate submissions from the same account do not count as separate contributions.
  • Valid feedback includes documented technical bugs, app crashes, UI issues, or substantive, well-structured feature proposals. Spam, duplicate, or low-effort submissions may be rejected.
  • We reserve sole discretion to determine whether feedback qualifies and when account upgrades are applied.
  • The incentive may be modified or discontinued at any time for new participants; accounts already upgraded retain benefits unless terminated for violation of these Terms.

5. App Availability and Downloads

Download links on our landing page direct to the official iOS App Store or TestFlight listing when available. If the app is not yet publicly listed, we may display a waitlist form instead. Distribution through Apple is subject to Apple's applicable terms and policies.

This website does not require authentication to view content or access download links.

6. Subscriptions and Pricing During Beta

Core features are available at no charge during the public beta. Premium tiers, in-app purchases, or paid subscriptions may be introduced after beta. Any lifetime subscription granted through the feedback program remains subject to these Terms and our Privacy Policy.

7. Intellectual Property

The PurchasePal name, logo, software, design, and content are owned by PurchasePal Technologies Inc. or its licensors and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Services.

8. Third-Party Services and Data

Price comparison and product data may originate from third-party retailers, databases, or APIs. We do not guarantee accuracy, availability, or completeness of third-party information. Your use of external retailer sites or services is governed by their own terms.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT PRICE OR AI OUTPUTS WILL BE ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PURCHASEPAL TECHNOLOGIES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access at any time for violation of these Terms or for operational reasons. You may stop using the Services at any time by deleting the app and, where available, closing your account. Sections that by nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and governing law.

12. Changes to Terms

We may revise these Terms as the product evolves beyond beta. Continued use after changes constitutes acceptance of the updated Terms. Material changes will be posted on this page with an updated effective date.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.
